Terms & Conditions

These Terms & Conditions (“Terms”) govern the provision of digital marketing, paid media, advertising, performance marketing, local marketing, marketplace advertising, and related services by ALGORIO PLUS MEDIA W.L.L (“Algorio Plus Media”, “we”, “us”, or “our”) to the client (“Client”, “you”, or “your”).

By engaging Algorio Plus Media, accepting a proposal or quotation, signing a service agreement, approving a campaign, paying an invoice, or otherwise instructing us to provide services, you agree to these Terms together with the applicable proposal, statement of work, quotation, order form, or service agreement.

Where there is a conflict between these Terms and a separately signed written agreement, the signed agreement will prevail to the extent of the conflict.

Algorio Plus Media provides digital media and marketing services including:

  • Digital Media Advertising
  • Growth & Performance Marketing
  • Local & Geo-Targeted Marketing
  • Marketplace Advertising
  • Audience and market targeting
  • Campaign strategy and management
  • Creative and message optimisation
  • Conversion and performance tracking
  • Related paid-media and digital marketing services agreed with the Client

2. Definitions

For these Terms:

  • “Advertising Platforms” means third-party platforms used to run advertising campaigns, including Google, Meta, Microsoft, TikTok, LinkedIn, marketplace platforms, social platforms, or other platforms selected for a campaign.
  • “Ad Spend” means money paid to an Advertising Platform or other media owner to purchase advertising inventory. Ad Spend is separate from Algorio Plus Media’s service fees unless expressly stated otherwise.
  • “Campaign” means an advertising campaign or group of campaigns managed by Algorio Plus Media for the Client.
  • “Client Materials” means content, images, videos, logos, trademarks, data, product information, copy, account information, credentials, offers, claims, and other materials supplied by the Client.
  • “Creative Materials” means advertising copy, designs, videos, graphics, campaign assets, landing-page recommendations, and other creative work produced as part of the Services.
  • “Services” means the services described in the applicable proposal, quotation, statement of work, order form, or other written agreement.
  • “Third-Party Services” means services, software, platforms, advertising networks, marketplaces, analytics tools, hosting providers, payment providers, or other third-party systems used in connection with the Services.

3. Acceptance of These Terms

You may accept these Terms by:

  • signing an agreement;
  • accepting a proposal or quotation;
  • approving a campaign;
  • instructing us to commence work;
  • paying an invoice;
  • granting access to an advertising account; or
  • otherwise requesting that we provide the Services.

If you are entering into these Terms on behalf of a company or organisation, you confirm that you have authority to bind that organisation.

4. Services

Algorio Plus Media will provide the Services described in the applicable proposal, quotation, statement of work, or service agreement.

Services may include:

  • media strategy;
  • audience targeting;
  • campaign planning;
  • advertising account setup;
  • campaign management;
  • bid and budget management;
  • creative testing;
  • conversion tracking;
  • performance analysis;
  • reporting;
  • local and geographic targeting;
  • marketplace advertising;
  • landing-page recommendations;
  • optimisation; and
  • other digital marketing services agreed in writing.

The exact scope of work, deliverables, fees, timelines, channels, and responsibilities will be determined by the applicable commercial agreement.

5. No Automatic Inclusion of Services

Services not expressly included in the agreed scope are not included in the Services.

For example, unless expressly agreed, campaign management does not automatically include:

  • website development;
  • landing-page development;
  • photography;
  • video production;
  • graphic design beyond agreed deliverables;
  • copywriting;
  • CRM development;
  • sales-team management;
  • customer-service management;
  • marketplace fulfilment;
  • product photography;
  • influencer fees;
  • software subscriptions;
  • advertising spend; or
  • third-party platform fees.

Additional services may be quoted separately.

6. Strategy and Recommendations

Algorio Plus Media may review the Client’s:

  • business objectives;
  • target audience;
  • competitors;
  • existing campaigns;
  • advertising history;
  • customer journey;
  • website;
  • landing pages;
  • conversion data;
  • available budget; and
  • relevant market conditions.

Our recommendations are based on the information reasonably available to us at the time.

Marketing recommendations may change as campaign data, market conditions, platform policies, competition, audience behaviour, or business circumstances change.

7. Client Responsibilities

The Client agrees to:

  • provide accurate and complete information;
  • provide necessary account access;
  • provide required brand and product information;
  • provide legally compliant offers and claims;
  • provide timely approvals;
  • review campaign materials;
  • maintain appropriate website functionality;
  • maintain accurate pricing and product information;
  • ensure that its products and services comply with applicable laws;
  • promptly notify us of relevant business changes; and
  • cooperate reasonably with Algorio Plus Media.

The Client remains responsible for its business, products, services, pricing, customer fulfilment, sales process, and legal compliance.

8. Client Approvals

Where Client approval is required, the Client is responsible for reviewing the relevant material before publication.

Approval may include:

  • advertising copy;
  • images;
  • videos;
  • offers;
  • landing pages;
  • targeting;
  • promotional claims;
  • product information;
  • campaign structure; and
  • budgets.

Once approved by the Client, Algorio Plus Media may proceed with publication or campaign activation.

The Client is responsible for ensuring that approved materials accurately represent its business, products, services, pricing, offers, and claims.

9. Accuracy of Client Information

The Client must ensure that all information supplied to Algorio Plus Media is accurate, current, complete, and lawful.

This includes information relating to:

  • products;
  • services;
  • pricing;
  • discounts;
  • promotions;
  • availability;
  • locations;
  • guarantees;
  • testimonials;
  • claims;
  • certifications; and
  • regulatory statements.

Algorio Plus Media may rely on information supplied by the Client without independently verifying every factual statement.

10. Advertising Budgets and Ad Spend

Unless expressly stated otherwise, Ad Spend is separate from Algorio Plus Media’s professional fees.

The Client is responsible for paying:

  • advertising platform charges;
  • marketplace advertising charges;
  • media purchases;
  • platform fees;
  • applicable taxes;
  • third-party technology costs; and
  • other campaign-related external charges.

The Client authorises Algorio Plus Media to manage the agreed advertising budget within the campaign parameters approved by the Client.

11. Ad Spend Is Not a Service Fee

Money allocated to Advertising Platforms is not revenue of Algorio Plus Media unless expressly stated otherwise.

Our management fees, strategy fees, creative fees, or other professional charges are separate from Ad Spend.

Where Algorio Plus Media pays or advances a third-party advertising charge on the Client’s behalf, the Client may be required to reimburse that amount in accordance with the applicable agreement.

12. Budget Changes

Algorio Plus Media will generally operate within the budget authorised by the Client.

The Client may request:

  • budget increases;
  • budget reductions;
  • channel reallocations;
  • campaign pauses;
  • campaign expansions; or
  • changes in geographic targeting.

Changes may affect campaign performance, learning periods, delivery, and reporting.

Where a requested change materially affects the agreed scope, additional fees may apply.

13. Platform Billing and Account Charges

Advertising Platforms may charge the Client directly or, where agreed, charge an account or payment method managed by Algorio Plus Media.

The Client is responsible for ensuring that advertising accounts have valid payment arrangements and sufficient funds.

Algorio Plus Media is not responsible for campaign interruptions caused by:

  • declined payments;
  • expired cards;
  • insufficient funds;
  • billing restrictions;
  • account limits;
  • platform billing errors; or
  • payment disputes outside our control.

14. Third-Party Advertising Platforms

Advertising campaigns may depend on third-party platforms.

These platforms may:

  • reject advertisements;
  • restrict accounts;
  • change algorithms;
  • change targeting options;
  • change pricing;
  • alter reporting;
  • suspend accounts;
  • remove advertising inventory;
  • change policies;
  • restrict certain industries; or
  • discontinue features.

Algorio Plus Media does not control these third-party decisions.

15. Platform Approval Does Not Guarantee Compliance

Where an Advertising Platform approves an advertisement, this does not necessarily mean that the advertisement complies with every applicable law or regulatory requirement.

The Client remains responsible for ensuring that its products, services, claims, offers, and business practices comply with applicable laws.

Algorio Plus Media may refuse to publish or manage material that it reasonably believes presents a legal, regulatory, reputational, or platform-compliance risk.

16. Account Access

The Client may need to provide Algorio Plus Media with access to:

  • advertising accounts;
  • business managers;
  • social media accounts;
  • analytics systems;
  • websites;
  • marketplaces;
  • CRM systems;
  • tag-management systems; and
  • other relevant platforms.

The Client authorises Algorio Plus Media to use such access solely to provide the agreed Services.

17. Account Security

The Client remains responsible for maintaining ownership and control of its accounts.

The Client should:

  • maintain appropriate administrator access;
  • use secure passwords;
  • enable available security controls;
  • promptly notify us of suspicious activity; and
  • revoke access when appropriate after termination.

Algorio Plus Media will take reasonable measures to protect credentials and account access under its control.

18. Campaign Performance

Algorio Plus Media will use commercially reasonable efforts to manage and optimise campaigns in accordance with the agreed strategy.

However, digital advertising performance depends on numerous factors outside our control.

These may include:

  • market demand;
  • competition;
  • seasonality;
  • pricing;
  • website performance;
  • sales processes;
  • product availability;
  • customer behaviour;
  • platform algorithms;
  • auction conditions;
  • audience size;
  • economic conditions;
  • tracking limitations; and
  • changes made by third parties.

Accordingly, we do not guarantee any specific:

  • number of leads;
  • sales;
  • enquiries;
  • bookings;
  • revenue;
  • return on advertising spend;
  • cost per acquisition;
  • cost per lead;
  • click-through rate;
  • conversion rate; or
  • other commercial result,

unless a specific written guarantee has been expressly agreed and signed by both parties.

19. No Guarantee of Advertising Platform Results

The Client acknowledges that advertising operates through competitive third-party systems and auctions.

Changes in:

  • competition;
  • demand;
  • platform algorithms;
  • audience behaviour;
  • platform policies;
  • available inventory;
  • bidding conditions; or
  • technical functionality

may affect campaign performance.

Past performance is not a guarantee of future performance.

20. Tracking and Attribution

Algorio Plus Media may implement or recommend:

  • conversion tracking;
  • pixels;
  • tags;
  • analytics;
  • event tracking;
  • call tracking;
  • attribution tools;
  • marketplace reporting; and
  • other measurement systems.

Tracking may not capture every customer interaction.

Differences may occur between:

  • advertising platform reports;
  • website analytics;
  • CRM records;
  • marketplace reports; and
  • actual sales.

Attribution should therefore be understood as an analytical measurement rather than an absolute record of every customer journey.

21. Client’s Website and Conversion Environment

Campaign results may depend significantly on the Client’s:

  • website;
  • landing pages;
  • checkout;
  • forms;
  • booking system;
  • CRM;
  • sales process;
  • pricing;
  • customer service;
  • product availability; and
  • technical infrastructure.

Algorio Plus Media may make recommendations regarding these areas, but unless expressly engaged to implement them, the Client remains responsible for making the relevant changes.

22. Creative and Message Optimisation

Where included in the Services, Algorio Plus Media may test:

  • headlines;
  • descriptions;
  • images;
  • videos;
  • calls to action;
  • offers;
  • formats;
  • audiences;
  • placements; and
  • messaging angles.

Testing does not guarantee that any particular variation will outperform another.

The Client authorises reasonable testing within the agreed campaign strategy.

23. Local and Geo-Targeted Marketing

Where local or geo-targeted advertising is provided, targeting may use:

  • cities;
  • neighbourhoods;
  • postal areas;
  • radius targeting;
  • geographic boundaries;
  • device location signals; or
  • other platform-defined location methods.

Location targeting is dependent on third-party platform technology and may not identify a person’s physical location with complete accuracy.

Store visits, calls, bookings, or other offline actions may also be difficult to attribute precisely.

24. Marketplace Advertising

Marketplace advertising may include sponsored listings, product targeting, keyword targeting, placement management, and listing recommendations.

Marketplace performance may depend on factors including:

  • product availability;
  • pricing;
  • reviews;
  • ratings;
  • marketplace ranking;
  • listing quality;
  • fulfilment;
  • stock levels;
  • competitor pricing; and
  • marketplace algorithms.

Algorio Plus Media does not guarantee product ranking, sales volume, marketplace visibility, or profitability.

The Client remains responsible for inventory, fulfilment, customer service, returns, product information, and marketplace compliance.

25. Creative Materials

Where creative services are included, Algorio Plus Media will provide the deliverables described in the applicable scope.

Unless otherwise agreed, the Client is responsible for providing:

  • logos;
  • brand guidelines;
  • product information;
  • photographs;
  • videos;
  • product assets;
  • required claims;
  • pricing information; and
  • other necessary materials.

Additional creative requests outside the agreed scope may incur additional charges.

26. Client Materials

The Client grants Algorio Plus Media a non-exclusive, limited licence to use Client Materials solely to provide the Services.

The Client represents that it has the necessary rights, permissions, licences, and authority to provide the Client Materials and permit their use.

27. Intellectual Property

Unless otherwise agreed in writing:

  • the Client retains ownership of Client Materials;
  • Algorio Plus Media retains ownership of its pre-existing methodologies, systems, templates, processes, know-how, frameworks, and proprietary tools; and
  • ownership of bespoke final deliverables will be governed by the applicable proposal or agreement.

Where full ownership of specific deliverables is intended to transfer to the Client, that transfer may be conditional upon payment of all applicable fees.

28. Third-Party Materials

Campaigns may contain third-party materials, including:

  • stock images;
  • fonts;
  • music;
  • software;
  • plugins;
  • platform assets;
  • creator content; or
  • other licensed materials.

Use of third-party materials may be subject to separate licences and restrictions.

The Client agrees to comply with applicable licence conditions where those materials are provided for Client use.

29. Client Warranties

The Client represents and warrants that:

  • it has authority to agree;
  • information supplied to Algorio Plus Media is accurate to the best of its knowledge;
  • it owns or has appropriate rights to Client Materials;
  • its products and services comply with applicable laws;
  • its advertising claims are truthful and supportable;
  • its promotions and offers comply with applicable requirements;
  • its website and sales process comply with applicable laws;
  • it has obtained required permissions for personal data supplied to us; and
  • it will not instruct Algorio Plus Media to undertake unlawful advertising activity.

30. Regulated or Restricted Advertising

Certain industries, products, claims, and advertising practices may be subject to additional restrictions.

These may include:

  • financial services;
  • healthcare;
  • pharmaceuticals;
  • supplements;
  • gambling;
  • alcohol;
  • financial products;
  • political advertising;
  • adult products;
  • regulated professional services; and
  • other restricted categories.

The Client must inform Algorio Plus Media if its business or campaign falls within a regulated or restricted category.

Algorio Plus Media may refuse or limit Services where required by law, platform rules, professional obligations, or internal risk policies.

31. Compliance with Advertising Laws

The Client is responsible for the legality and accuracy of its commercial claims, offers, products, services, and promotional representations.

Algorio Plus Media may provide marketing recommendations, but such recommendations do not constitute legal advice.

Where appropriate, the Client should obtain independent legal or regulatory advice before publishing claims in regulated or legally sensitive areas.

32. Personal Data and Data Protection

The parties will comply with applicable data protection laws relating to personal data processed in connection with the Services.

Where the Client provides personal data to Algorio Plus Media for campaign management, lead generation, audience management, tracking, or related purposes, the Client is responsible for ensuring that it has the necessary rights, notices, consents, permissions, and lawful basis required for that processing.

Where Algorio Plus Media processes personal data on the Client’s behalf, the parties may enter into an appropriate data processing agreement where required.

Bahrain’s Personal Data Protection Law, Law No. 30 of 2018, establishes Bahrain’s legal framework for personal data processing and includes provisions concerning processing and transfers outside Bahrain.

33. Confidentiality

Each party agrees to keep confidential information received from the other party confidential and to use it only for legitimate purposes connected with the relationship.

Confidential information may include:

  • business plans;
  • marketing strategies;
  • pricing;
  • customer information;
  • campaign data;
  • financial information;
  • technical information;
  • credentials;
  • proprietary processes; and
  • non-public commercial information.

Confidentiality obligations do not apply to information that:

  • is publicly available without breach;
  • was already lawfully known;
  • is independently developed;
  • is received lawfully from a third party; or
  • must be disclosed by law or a competent authority.

34. Reporting

Where reporting is included, Algorio Plus Media may provide information relating to:

  • advertising spend;
  • impressions;
  • clicks;
  • conversions;
  • leads;
  • acquisition costs;
  • return on advertising spend;
  • campaign trends;
  • audience performance; and
  • other agreed metrics.

Reports are based on information available from relevant platforms and systems.

Third-party reporting may contain delays, discrepancies, estimated data, attribution differences, or later adjustments.

35. Client Responsibility for Leads and Sales

Algorio Plus Media is responsible for the agreed marketing Services, not for the Client’s sales process.

The Client remains responsible for:

  • contacting leads;
  • responding promptly;
  • qualifying prospects;
  • conducting sales conversations;
  • fulfilling orders;
  • handling customer service;
  • processing payments; and
  • delivering products or services.

Failure to follow up on leads may affect commercial results but does not constitute a failure by Algorio Plus Media to provide the agreed advertising Services.

36. Fees

The Client agrees to pay the fees stated in the applicable proposal, quotation, statement of work, or invoice.

Fees may include:

  • management fees;
  • strategy fees;
  • setup fees;
  • creative fees;
  • reporting fees;
  • consulting fees;
  • project fees; or
  • other agreed charges.

Applicable taxes, duties, or government charges may be added where required by law.

37. Invoicing and Payment

Invoices will be issued according to the agreed payment schedule.

Unless otherwise stated in writing, invoices are payable within 30 days of the invoice date.

The Client must notify Algorio Plus Media promptly of any genuine invoice dispute.

Undisputed amounts remain payable by the applicable due date.

38. Late Payment

If an invoice remains unpaid after its due date, Algorio Plus Media may, subject to applicable law:

  • pause Services;
  • suspend campaign management;
  • suspend reporting;
  • stop launching new campaigns;
  • require advance payment;
  • recover reasonable collection costs; and/or
  • terminate the relevant Services.

Any interest or late-payment charge will apply only where permitted by applicable law and agreed contractual terms.

39. Additional Work

Requests outside the agreed scope may be treated as additional work.

Before undertaking substantial additional work, Algorio Plus Media may provide:

  • an additional quotation;
  • revised scope;
  • revised timeline; or
  • additional fee estimate.

The Client’s approval of the additional work may be provided in writing, electronically, or through another agreed communication method.

40. Client Delays

Campaign timelines may depend on the Client providing information, approvals, assets, account access, payments, or other cooperation.

If Client delays prevent or materially interfere with delivery, Algorio Plus Media may reasonably adjust:

  • launch dates;
  • campaign timelines;
  • reporting periods;
  • deliverable dates; and
  • resource allocation.

Client delays do not automatically entitle the Client to a refund or reduction in fees.

41. Campaign Pauses

The Client may request that campaigns be paused.

A campaign pause may affect:

  • performance;
  • learning;
  • audience delivery;
  • algorithmic optimisation;
  • historical momentum;
  • budget allocation; and
  • campaign results.

Any minimum commitment or notice period specified in the applicable agreement will continue to apply.

42. Suspension by Algorio Plus Media

Algorio Plus Media may suspend Services where reasonably necessary because of:

  • non-payment;
  • unlawful instructions;
  • platform restrictions;
  • security concerns;
  • misuse of accounts;
  • material breach of these Terms;
  • failure to provide required information;
  • regulatory concerns; or
  • circumstances that create a material risk to Algorio Plus Media.

Where reasonably practicable, we will notify the Client before suspension.

43. Termination

Either party may terminate an engagement in accordance with the termination provisions stated in the applicable agreement.

Where no specific notice period has been agreed, either party may terminate an ongoing engagement by giving 30 days’ written notice.

Algorio Plus Media may terminate immediately where:

  • the Client commits a material breach and fails to remedy it;
  • invoices remain materially overdue;
  • the Client instructs us to undertake unlawful activity;
  • continued performance would create a material legal or regulatory risk;
  • the Client engages in abusive, threatening, fraudulent, or unlawful conduct; or
  • the business relationship becomes commercially or operationally impracticable.

44. Effect of Termination

Upon termination:

  • outstanding fees become payable;
  • approved third-party costs remain payable;
  • committed advertising or media costs remain the Client’s responsibility;
  • campaign management will cease after the applicable termination date;
  • access to Client accounts may be removed as appropriate;
  • confidential information will continue to be protected; and
  • provisions intended to survive termination will remain effective.

45. Refunds

Fees for Services already properly performed are generally non-refundable, except where:

  • the applicable agreement expressly provides otherwise;
  • a refund is required by applicable law;
  • the parties agree otherwise in writing; or
  • Services have not been provided as required under the applicable agreement.

Advertising spend already incurred, committed, or charged by a third-party platform is generally not refundable by Algorio Plus Media because it is paid to or incurred through the relevant platform.

Nothing in these Terms excludes or restricts any mandatory consumer rights or remedies that cannot lawfully be excluded.

Bahrain’s consumer-protection framework places obligations on service providers concerning deficiencies in services and recognises circumstances in which contractual terms cannot simply exempt a supplier from statutory obligations.

46. Third-Party Costs

The Client is responsible for third-party costs reasonably incurred in connection with the Services where those costs have been approved, authorised, or are expressly included in the agreed scope.

These may include:

  • advertising spend;
  • stock imagery;
  • software;
  • platform subscriptions;
  • creator fees;
  • production costs;
  • marketplace fees;
  • hosting;
  • domains;
  • tracking tools; and
  • other external services.

47. Third-Party Service Availability

Algorio Plus Media is not responsible for failures caused by third-party services outside our reasonable control.

This includes:

  • platform outages;
  • API failures;
  • account restrictions;
  • algorithm changes;
  • software errors;
  • reporting interruptions;
  • marketplace outages;
  • hosting failures;
  • payment failures; and
  • changes to third-party services.

Where practical, we will take reasonable steps to identify and address issues affecting the Services.

48. No Exclusivity

Unless expressly agreed otherwise, the relationship is non-exclusive.

Algorio Plus Media may provide services to other businesses, including businesses operating in similar industries, provided that we continue to comply with our confidentiality obligations.

49. Use of Subcontractors

Algorio Plus Media may engage employees, contractors, consultants, specialists, or other service providers to assist with delivery of the Services.

We remain responsible for managing the agreed Services and will take reasonable steps to ensure that relevant subcontractors are subject to appropriate confidentiality and data-protection obligations.

50. Force Majeure

Neither party will be responsible for failure or delay caused by circumstances reasonably beyond its control.

Such circumstances may include:

  • natural disasters;
  • fire;
  • flood;
  • war;
  • civil unrest;
  • government action;
  • telecommunications failures;
  • widespread internet outages;
  • cyber incidents;
  • platform-wide outages;
  • labour disputes;
  • public health emergencies; or
  • other events outside reasonable control.

The affected party should notify the other party where reasonably practicable.

51. Limitation of Liability

To the maximum extent permitted by applicable law, Algorio Plus Media will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from the Services.

This may include losses relating to:

  • anticipated revenue;
  • lost sales;
  • lost opportunities;
  • loss of goodwill;
  • loss of data;
  • business interruption; or
  • expected advertising performance.

Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.

52. Liability Cap

Subject to applicable law, Algorio Plus Media’s aggregate liability arising out of or relating to the Services will not exceed the total professional fees actually paid to Algorio Plus Media by the Client during the 12 months immediately preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot legally be limited or excluded.

53. Client Indemnity

To the extent permitted by law, the Client agrees to indemnify and hold Algorio Plus Media harmless from third-party claims, losses, liabilities, costs, and reasonable expenses arising from:

  • Client Materials;
  • unlawful or misleading Client claims;
  • products or services supplied by the Client;
  • infringement caused by Client Materials;
  • the Client’s breach of applicable law;
  • the Client’s breach of these Terms; or
  • the Client’s failure to obtain required permissions or rights.

This clause does not apply to the extent that the relevant loss was caused by Algorio Plus Media’s own breach, negligence, wilful misconduct, or other liability that cannot lawfully be transferred to the Client.

54. No Legal or Financial Advice

Marketing recommendations provided by Algorio Plus Media are commercial and marketing recommendations.

They do not constitute:

  • legal advice;
  • tax advice;
  • accounting advice;
  • financial advice;
  • regulatory advice; or
  • other professional advice outside the agreed marketing Services.

The Client should obtain independent professional advice where appropriate.

55. Website and Online Content

56. Portfolio and Marketing Use

Unless the Client expressly requests otherwise in writing, Algorio Plus Media may identify the Client as a client and display completed public-facing work for portfolio, presentation, award, or marketing purposes.

We will not intentionally publish confidential campaign information, private customer data, or non-public commercial information without appropriate permission.

Where the Client requires confidentiality regarding its identity or work, the Client should notify us in writing.

57. Electronic Communications

The parties may communicate by:

  • email;
  • project-management platforms;
  • messaging platforms;
  • electronic documents;
  • online approvals; or
  • other agreed electronic means.

Electronic approvals and communications may be treated as written instructions where appropriate.

The Client is responsible for maintaining appropriate security over its email accounts and communication systems.

58. Notices

Formal notices under these Terms should be sent to the contact details stated in the applicable agreement.

Notices to the Client should be sent to the email or address specified in the applicable agreement.

59. Assignment

Neither party may transfer its rights or obligations under these Terms without the other party’s prior written consent, except where the transfer occurs as part of a legitimate corporate restructuring, merger, acquisition, or sale of substantially all relevant business assets and is permitted by applicable law.

60. Independent Contractor

Algorio Plus Media acts as an independent service provider.

Nothing in these Terms creates:

  • an employment relationship;
  • partnership;
  • joint venture;
  • agency relationship; or
  • fiduciary relationship

between the parties unless expressly agreed in writing.

61. No Waiver

If either party does not immediately enforce a provision of these Terms, that does not mean the party has waived its right to enforce that provision later.

A waiver must be given expressly and in writing.

62. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

The parties will seek to replace the affected provision with a valid provision that most closely reflects its intended commercial purpose.

63. Entire Agreement

These Terms, together with the applicable proposal, quotation, statement of work, order form, and other documents expressly incorporated into the engagement, constitute the agreement between the parties concerning the Services.

They supersede previous discussions or understandings concerning the same subject matter, except where expressly preserved in writing.

64. Changes to These Terms

Algorio Plus Media may update these general Terms from time to time.

However, changes will not automatically alter the commercial terms of an existing engagement unless:

  • the Client agrees to the revised terms;
  • the applicable agreement permits such changes; or
  • the change is required by applicable law.

The version applicable to an engagement will generally be the version accepted by the Client at the time of contracting, subject to any agreed updates.

65. Governing Law

These Terms and the relationship between Algorio Plus Media and the Client will be governed by the laws of the Kingdom of Bahrain, unless a different governing law is expressly agreed in a written contract and is legally permitted.

66. Dispute Resolution

The parties should first attempt to resolve any dispute through good-faith discussions between authorised representatives.

If the dispute cannot be resolved through negotiation, either party may pursue the remedies available under applicable Bahrain law.

Where the parties have expressly agreed to arbitration in a separate written agreement, that agreement will govern the applicable arbitration procedure.

Nothing in this section prevents a party from seeking urgent interim or protective relief from a competent court where appropriate.

67. Consumer Rights

Nothing in these Terms is intended to exclude, restrict, or waive any mandatory rights or remedies available to a consumer under applicable Bahrain law.

Where mandatory consumer-protection legislation applies, those statutory rights will continue to apply notwithstanding any conflicting contractual provision.

Bahrain’s consumer-protection framework includes provisions concerning service-provider obligations and restrictions on contractual provisions that attempt to exempt a supplier from certain statutory obligations.

68. Language

These Terms are provided in English.

If these Terms are translated into another language for convenience, the parties should specify in the applicable agreement which language will prevail in the event of a discrepancy, subject to any mandatory legal requirements.

70. Effective Date

Effective Date: September 2026

By engaging ALGORIO PLUS MEDIA W.L.L, the Client acknowledges that it has had an opportunity to review these Terms and agrees to be bound by them together with the applicable commercial agreement.
